Terms & Conditions of Sale
Each piece of our furniture is specially manufactured for you after you place your order. In this way, it is not suitable for resale in the ordinary course of business. Therefore, once your order has been placed and your deposit has been authorized, your order may not be canceled. Customer may not cancel or modify any special orders or production orders unless expressly agreed to in writing by Fallen Industry.
Customer shall have the opportunity to inspect the finished piece prior to delivery, or at the time of pick-up. Once your piece is near-finished, Customer is encouraged to make a scheduled shop visit to approve the work prior to final payment. Fallen Industry will also send photos that can be used to approve your piece in lieu of an on site visit. Customer acknowledges and hereby agrees that, once Customer or its agent has had the opportunity to inspect the furniture and takes possession of same, the furniture is thereby delivered and sold to Customer as accepted. Seller takes no responsibility for normal wear and tear or any non-production or non-design-related damages that may occur after delivery.
All invoiced prices are in U.S. dollars. Prices shall be Fallen Industry’s current prices in effect on the date of acceptance of the order unless otherwise agreed to by Customer and Fallen Industry. All general or special taxes, duties, fees, freight and insurance costs and any other charges imposed on or in connection with the order shall be paid by the Customer in addition to the price quoted or invoiced. Fallen Industry requires pieces to be paid in full before releasing them. Pieces must be paid in full and picked up or delivered within 30 days of completion, unless otherwise agreed to in writing by Fallen Industry. In the event of delay in delivery requested by the Customer or caused by the Customer, Fallen Industry shall store products at Customer’s risk and expense.
Fallen Industry will use reasonable efforts to meet any scheduled dates for delivery or pick-up, however it does not guarantee any such dates. Failure to meet any estimated dates of completion shall not constitute a cause for cancellation or breach of this contract.
We uses many different shipping companies, depending of the need and destination. If delivery is required, Fallen Industry is not responsible for any loss, damage or delay which may occur after delivering product to the Delivery Point. Title passes when product is delivered to the Delivery Point. Customer shall inspect the product upon receipt and any claims for shortages or other errors must be noted at the time of Delivery on Fallen Industry documents and supported by signed documentation. Claims for shortages or other errors must be made in writing to Fallen Industry within 10 days of receipt. Failure to give such notice shall constitute unqualified acceptance and a waiver of all such claims by Customer. No products may be returned to Fallen Industry for any reason without prior written authorization.
NATURAL WOOD / RECLAIMED WOOD PRODUCT DISCLAIMER
We make every effort to ensure the longevity of our work, including kiln drying, adding supports, joints, sealing and finishing the materials. Regardless of these attempts, solid wood materials may still have some movement that can cause slight shifting, cracks, and warping. Fallen Industry can make no guarantee against such natural occurrences. If there are such undesired occurrences, we can service the piece/s at a discounted rate. Reclaimed wood is a natural product and may contain inherent aged characteristics including but not limited to the following: checking, natural color variation, nail holes, mortise holes, mineral staining, wane, tapering, etc. Dimensions of reclaimed wood are not as exact as in newly milled lumber and may have natural variance in any dimension. If any sample was shown Customer, that sample was used merely to illustrate the general type and quality of the products and not to represent that the products would necessarily conform to the sample.
ONE YEAR LIMITED WARRANTY:
Fallen Industry warrants to the original purchaser that this product is free from defects in its material and workmanship as described below. We do not guarantee our finishes to match exactly, nor is your unconditional satisfaction guaranteed. We will repair or replace and/or contract with a third party to service, at our option, without any additional charge to the original purchaser, excluding shipping, of any defective product(s) and/or part(s) for 1 (one) full year from the date of shipment while owned by the original purchaser. This warranty is your sole remedy for product defects and EXCLUDES defects due to or arising in connection with product misuse or abuse, modifications, natural wood occurrences such as movement, cracking, warping, and products and parts not used or installed in accordance with installation guidelines. There are no other warranties, express or implied other than those specifically described, including without limitation any implied warranty of merchantability or fitness for a particular purpose. We will not be responsible for any incidental or consequential damages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights and you may also have other rights which may vary from state to state.
BY PLACING AN ORDER, CUSTOMER ACKNOWLEDGES AND AGREES TO ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT.
